Conflict of Interest Disclosure

The annual statement from each director, officer and designated employee. Its design point is that it asks by category — financial interests held by the person or a family member in any entity that transacts with the organisation, positions held elsewhere, gifts received — rather than offering a single empty box headed "any conflicts?", which reliably produces the answer "no". People do not conceal conflicts so much as fail to recognise them, and a prompt is what surfaces them.

Frequently asked

Who should complete one?

That is set by your own policy and bylaws. The form provides for directors, officers and employees the board designates; who is designated is your organisation's decision, not ours.

What happens when someone discloses something?

Your policy governs. The accompanying policy language takes the stricter reading — that the conflicted person leaves both the discussion and the vote — but some bylaws bar only the vote. Yours governs, and the clause says so.
