Board Meeting Minutes

Minutes are the board's only durable record of what it decided, and most are written from memory days later with the one thing that matters left out: whether there was a quorum. A decision taken without one can be challenged, and nobody notices until it matters. This records attendance and quorum explicitly, then each motion with its mover, seconder, vote counts and outcome, the reports received, the actions with owners, and the time of adjournment. It is a form to complete in the meeting, not a document to reconstruct afterwards.

Frequently asked

Why so much emphasis on quorum?

Because it is the condition on which the validity of everything else rests, and it is the field people skip. Recording who was present, who was absent and whether quorum was met takes ten seconds and answers a question that can otherwise only be argued about.

Is this a filed document?

No. Minutes are an internal record. What your organisation must file, and when, differs by country and by organisation type — this tool states no deadline and names no agency, because any figure it gave would be wrong for most readers.

Is this legal advice?

No. Your bylaws govern how your board must meet, decide and record. This is a structure for capturing it.
